Yat\u0131r\u0131m ise bu amaca y\u00f6nelik tahsis edilebilecek parayla (finansman) m\u00fcmk\u00fcnd\u00fcr. Bu itibarla, firmalar\u0131n ve kamu kurulu\u015flar\u0131n\u0131n ihtiya\u00e7 duyduklar\u0131 finansman\u0131n temin bi\u00e7imi \u00f6nem arz etmektedir. Gerek D\u00fcnya`da gerekse \u00dclkemizde son y\u0131llarda geleneksel finansman kaynaklar\u0131 (banka kredisi, tahvil gibi) yan\u0131nda alternatif finansman kaynaklar\u0131 (finansal kiralama, faktoring, yap-i\u015flet-devret modeli gibi) da kullan\u0131lmaya ba\u015flanm\u0131\u015ft\u0131r. Bu \u00e7er\u00e7evede alternatif bir finansman kayna\u011f\u0131 olarak \u0130slami orijinli sukuk-u icara olarak bilinen kira sertifikas\u0131 ihrac\u0131 da bir sermaye piyasas\u0131 arac\u0131 (enstr\u00fcman\u0131) olarak ra\u011fbet g\u00f6rmektedir. Yast\u0131k alt\u0131ndaki paralar ve k\u00f6rfez fonlar\u0131n\u0131 \u00fclkemize \u00e7ekmek amac\u0131yla Sermaye Piyasas\u0131 Kurulunun bir tebli\u011fi ile kira sertifikalar\u0131na ili\u015fkin esaslar belirlenmi\u015ftir. Bu yaz\u0131da, sukuk-u icara olarak bilinen finansman ve yat\u0131r\u0131m enstr\u00fcman\u0131n\u0131n \u00fclkemize \u00f6zg\u00fc bir versiyonu olarak mevzuat\u0131m\u0131za giren kira sertifikalar\u0131 hakk\u0131nda temel bilgiler verildikten sonra bunlara sa\u011flanan vergisel te\u015fvikler de\u011ferlendirilecektir.<\/p>\n<p align=\"LEFT\"><strong>2- SUKUKUN TANIMI ve \u00c7E\u015e\u0130TLER\u0130<\/strong><\/p>\n<p align=\"LEFT\">Kira sertifikas\u0131 kavram\u0131na ge\u00e7meden \u00f6nce, sukuk ve sukukun bir t\u00fcr\u00fc olarak beliren sukuk-u icara hakk\u0131nda k\u0131saca bilgi vermek gerekmektedir<\/p>\n<p align=\"LEFT\"><strong>2.1- Sukukun Tan\u0131m\u0131<\/strong><\/p>\n<p align=\"LEFT\">Sukuk, Arap\u00e7a sak kelimesinin \u00e7o\u011fuludur. Sak, s\u00f6zc\u00fck olarak tahvil, senet, belge veya sertifika gibi anlamlar ta\u015f\u0131maktad\u0131r. Halk aras\u0131nda yayg\u0131n bir tabir olarak da, vesika, pusula, sertifika anlamlar\u0131nda kullan\u0131lmaktad\u0131r. Sukuk ise, belgeler, sertifikalar anlam\u0131na gelmektedir<\/p>\n<p align=\"LEFT\">Finans literat\u00fcr\u00fcnde, sukuk finansal sertifikan\u0131n Arap\u00e7a ad\u0131d\u0131r. Genel olarak sukuk, \u0130slami prensiplere uygun faizsiz tahvil olarak tan\u0131mlanabilir. Sukukta yer alan hak-iddia olgusu, sadece nakit ak\u0131\u015f\u0131 olmay\u0131p, ayn\u0131 zamanda m\u00fclkiyet hakk\u0131n\u0131 da i\u00e7ermektedir. Sukuk \u0130slami finans sisteminin piyasalara sundu\u011fu alternatif bir finansman enstr\u00fcman\u0131d\u0131r. \u0130slami finans sistemi \u00fc\u00e7 temel esasa dayan\u0131r. Bunlar; faizin yasak olu\u015fu, belirsizlik (gharar) i\u00e7eren faaliyetlerin men edilmi\u015f olmas\u0131 ve haram say\u0131lan faaliyetlerin (kumar gibi) yasak olu\u015fudur<sup>1<\/sup>.<\/p>\n<p align=\"LEFT\">Sukuk bu esaslar \u00e7er\u00e7evesinde geli\u015ftirilmi\u015f bir yat\u0131r\u0131m sertifikas\u0131d\u0131r.<\/p>\n<p align=\"LEFT\">Sukuku daha anla\u015f\u0131l\u0131r k\u0131lmak i\u00e7in, geleneksel bonolardan farkl\u0131 y\u00f6nleri ile onun \u00f6zelliklerini ve ihra\u00e7 y\u00f6ntemlerini k\u0131saca a\u00e7\u0131klamak yararl\u0131 olacakt\u0131r<\/p>\n<p align=\"LEFT\"><em><strong>2.1.1- Sukukun Geleneksel Bonolardan Farklar\u0131<\/strong><\/em><\/p>\n<p align=\"LEFT\">Sukukun geleneksel bir yat\u0131r\u0131m arac\u0131 olan bonolardan farklar\u0131n\u0131 \u015fu \u015fekilde s\u0131ralamak m\u00fcmk\u00fcnd\u00fcr.<\/p>\n<p align=\"LEFT\">\u2022 Bonolar ihra\u00e7 edenin belirli tarihlerde faiz ve ana paray\u0131 bono al\u0131c\u0131s\u0131na \u00f6demesini s\u00f6zle\u015fme ile y\u00fck\u00fcml\u00fcl\u00fck haline getiren bor\u00e7lanma s\u00f6zle\u015fmesidir. Sukukta ise, sukuk al\u0131c\u0131s\u0131 ilgili varl\u0131kta tam tasarruf hakk\u0131 kazanmaktad\u0131r.<\/p>\n<p align=\"LEFT\">\u2022 Bonolarda, bono sahipleri, bono ihra\u00e7 edenin \u00f6z varl\u0131klar\u0131n\u0131n, m\u00fclkiyeti de dahil olmak \u00fczere kullan\u0131m\u0131 konusunda hi\u00e7bir hakka sahip olmazken, sukukta; sukuk al\u0131c\u0131s\u0131na, sukuka konu varl\u0131klar\u0131n sat\u0131lmas\u0131ndan olu\u015facak has\u0131lat\u0131n yan\u0131nda, bu varl\u0131klardan elde edilen gelirlerden de pay alma hakk\u0131 verebilmektedir.<\/p>\n<p align=\"LEFT\">\u2022 Bonolarda ihra\u00e7\u00e7\u0131 ve yat\u0131r\u0131mc\u0131 olarak iki taraf bulunurken sukukta, kaynak kurulu\u015f (mal sahibi), varl\u0131k kiralama \u015firketi (ihra\u00e7\u00e7\u0131) ve yat\u0131r\u0131mc\u0131 s\u0131fatlar\u0131yla \u00fc\u00e7 taraf bulunmaktad\u0131r.<\/p>\n<p align=\"LEFT\"><em><strong>2.1.2- Sukukun \u00d6zellikleri<\/strong><\/em><\/p>\n<p align=\"LEFT\">Sukukun ekonomik yararlar\u0131n\u0131 kavrayabilmek i\u00e7in onun \u00f6zelliklerini bilmek gerekir. Sukukun belli ba\u015fl\u0131 \u00f6zellikleri \u015fu \u015fekilde s\u0131ralanabilir<\/p>\n<p align=\"LEFT\">\u2022 Sukuk, orta ve uzun vadeli sabit veya de\u011fi\u015fken getiri sa\u011flayan faizsiz sermaye piyasas\u0131 \u00fcr\u00fcn\u00fcd\u00fcr<\/p>\n<p align=\"LEFT\">\u2022 Sukuk, likit bir enstr\u00fcman olup, ikincil piyasada i\u015flem g\u00f6rmektedir<\/p>\n<p align=\"LEFT\">\u2022 Kolay ve etkin \u00f6deme yap\u0131lmas\u0131 sayesinde, yat\u0131r\u0131mc\u0131lara d\u00fczenli gelir ak\u0131\u015f\u0131 sa\u011flamaktad\u0131rlar.<\/p>\n<p align=\"LEFT\">\u2022 Uluslararas\u0131 derecelendirme kurulu\u015flar\u0131nca, puanlamaya tabi olmas\u0131 nedeniyle, yat\u0131r\u0131mc\u0131larca risk\/getiri analizinin yap\u0131lmas\u0131nda rehber olarak kullan\u0131lmaktad\u0131r<\/p>\n<p align=\"LEFT\">\u2022 Gelir ortakl\u0131\u011f\u0131na dayand\u0131\u011f\u0131ndan anti enflasyonist bir nitelik ta\u015f\u0131rlar<\/p>\n<p align=\"LEFT\">\u2022 Kara dayal\u0131 bir \u00f6deme arac\u0131 oldu\u011fundan ihra\u00e7\u00e7\u0131lar i\u00e7in risk i\u00e7ermezler<\/p>\n<p align=\"LEFT\"><em><strong>2.1.3- Sukukun \u0130hra\u00e7 Y\u00f6ntemleri<\/strong><\/em><\/p>\n<p align=\"LEFT\">Sukuk genel olarak projeye, varl\u0131\u011fa veya bilan\u00e7oya endeksli olarak ihra\u00e7 edilmektedir<\/p>\n<p align=\"LEFT\"><em>2.1.3.1- Projeye Endeksli Sukuk<\/em><\/p>\n<p align=\"LEFT\">Bu kategoride sukuk, bir projeye endeksli olarak ihra\u00e7 edilerek fon sa\u011flamaktad\u0131r. Bu sukuk t\u00fcr\u00fcne Katar H\u00fck\u00fcmeti taraf\u0131ndan 2003 y\u0131l\u0131nda Doha \u015fehrindeki Hamad Medikal merkezinin yap\u0131m\u0131na kaynak sa\u011flanmas\u0131 amac\u0131yla \u00e7\u0131kar\u0131lan Katar Global sukuku \u00f6rnek verilebilir. Bu projenin hayata ge\u00e7irilmesi i\u00e7in \u00f6zel varl\u0131k y\u00f6netim \u015firketi (SPV=special purpose vehicle) olu\u015fturulmu\u015ftur. Bu ama\u00e7la Ekim-2010 vadeli yediy\u00fcz milyon USD de\u011ferinde sukuk ihra\u00e7 edilmi\u015f olup, getiri oran\u0131 de\u011fi\u015fken olarak belirlenmi\u015ftir<\/p>\n<p align=\"LEFT\"><em>2.1.3.2- Varl\u0131\u011fa Endeksli Sukuk<\/em><\/p>\n<p align=\"LEFT\">Bu sukukta, varl\u0131klar\u0131n kazan\u00e7 hakk\u0131n\u0131n yat\u0131r\u0131mc\u0131lara sat\u0131lmas\u0131yla fon sa\u011flanmaktad\u0131r. Bu ba\u011flamda Malezya H\u00fck\u00fcmeti fon temini i\u00e7in, 2002 y\u0131l\u0131nda alt\u0131 y\u00fcz milyon USD de\u011ferinde sukuk ihra\u00e7 etmi\u015ftir.<\/p>\n<p align=\"LEFT\">Bu ama\u00e7la H\u00fck\u00fcmet taraf\u0131ndan \u00f6zel ama\u00e7l\u0131 olarak kurulan giri\u015fime (SPV) sat\u0131lan arazi parselinin, kazan\u00e7 hakk\u0131 yat\u0131r\u0131mc\u0131lara be\u015f y\u0131l i\u00e7in sat\u0131lm\u0131\u015ft\u0131r. SPV m\u00fclkiyet haklar\u0131n\u0131 g\u00fcvence alt\u0131nda tutarak, yat\u0131r\u0131mc\u0131lara de\u011fi\u015fken oranl\u0131 sukuk ihra\u00e7 etmi\u015ftir. Ayn\u0131 \u015fekilde Bahreyn havaalan\u0131n\u0131n geni\u015fletilmesinin finansman\u0131 i\u00e7in ihra\u00e7 edilen iki y\u00fcz elli milyon USD be\u015f y\u0131ll\u0131k sukuk \u00f6rnek olarak verilebilir.<\/p>\n<p align=\"LEFT\"><em>2.1.3.3- Bilan\u00e7oya Endeksli Sukuk<\/em><\/p>\n<p align=\"LEFT\">Bu sukuk t\u00fcr\u00fcnde, esas itibariyle banka veya ticari i\u015fletmelerin bilan\u00e7olar\u0131ndaki \u00f6z varl\u0131klar esas al\u0131narak uygulama yap\u0131lmaktad\u0131r. S\u00f6z gelimi \u0130slam Kalk\u0131nma Bankas\u0131 taraf\u0131ndan A\u011fustos 2003`te \u00fcye \u00fclkelerin fon ihtiya\u00e7lar\u0131n\u0131 kar\u015f\u0131lamak i\u00e7in sukuk ihra\u00e7 edilmi\u015ftir. Banka, projenin kayna\u011f\u0131n\u0131 uluslar aras\u0131 sermaye piyasalar\u0131na d\u00f6rt y\u00fcz milyon USD de\u011ferinde 2008 vadeli, be\u015f y\u0131ll\u0131k sukuk ihra\u00e7 ederek sa\u011flam\u0131\u015ft\u0131r.<\/p>\n<p align=\"LEFT\"><strong>2.2- Sukukun \u00c7e\u015fitleri<\/strong><\/p>\n<p align=\"LEFT\">Sukuk finansman ve ticari i\u015flemlerde kullan\u0131lma \u015fekline g\u00f6re \u00e7e\u015fitlilik g\u00f6sterirler. Belli ba\u015fl\u0131 sukuk \u00e7e\u015fitleri a\u015fa\u011f\u0131da \u00f6zetle a\u00e7\u0131klanm\u0131\u015ft\u0131r.<\/p>\n<p align=\"LEFT\"><em><strong>2.2.1- Sukuk-u Mudaraba<\/strong><\/em><\/p>\n<p align=\"LEFT\">Mudaraba, s\u00f6zc\u00fck olarak bir taraf\u0131n emek di\u011ferinin sermaye koyarak olu\u015fturduklar\u0131 ortakl\u0131klard\u0131r2. Mudaraba ortakl\u0131\u011f\u0131nda e\u015fit de\u011ferde paylara sahipli\u011fi (m\u00fclkiyet) temsil eden, m\u00fclkiyetin tam oldu\u011fu, mudaraba al\u0131c\u0131lar\u0131n\u0131n isminin kaydedildi\u011fi ve getirinin sahip olunan hisseye g\u00f6re da\u011f\u0131t\u0131ld\u0131\u011f\u0131 yat\u0131r\u0131m sukukudur. Mudaraba sukukunda sertifika ihra\u00e7\u00e7\u0131s\u0131 mudariptir(giri\u015fimci). Fon verenler ise sermaye sahibidir.<\/p>\n<p align=\"LEFT\">Mudaraba sukukunun belli ba\u015fl\u0131 \u00f6zellikleri \u015funlard\u0131r.<\/p>\n<p align=\"LEFT\">\u2022 Mudaraba sukuku, ortak m\u00fclkiyeti ifade eder ve sukuk ihra\u00e7 edene kar\u015f\u0131 \u00f6zel projelerde sukuk al\u0131c\u0131s\u0131na hisse hakk\u0131 verir.<\/p>\n<p align=\"LEFT\">\u2022 Mudaraba sukuku s\u00f6zle\u015fmesi, ihra\u00e7 ile ilgili sermayenin t\u00fcr\u00fc, getiri oran\u0131 ve di\u011fer \u015fartlar\u0131n\u0131n \u015feri h\u00fck\u00fcmlere uygunlu\u011funu g\u00f6steren t\u00fcm bilgilerin yer ald\u0131\u011f\u0131 ihrac\u0131n tan\u0131t\u0131m\u0131ndaki resmi beyana dayan\u0131r.<\/p>\n<p align=\"LEFT\">\u2022 Mudaraba sukuku al\u0131c\u0131s\u0131na, s\u00f6zle\u015fmeyi kendi takdiri ile menkul k\u0131ymetler borsas\u0131nda satarak m\u00fclkiyeti ba\u015fkas\u0131na devretme hakk\u0131n\u0131 tan\u0131maktad\u0131r.<\/p>\n<p align=\"LEFT\">\u2022 Sukuk yoluyla fon toplayan, varl\u0131k y\u00f6netim \u015firketi (SPV), kendi fonuna da yat\u0131r\u0131m yapabilir. Mudarip (y\u00f6netici \u015firket) olarak k\u00e2rdaki pay\u0131na ilave olarak, SPV s\u0131fat\u0131yla katk\u0131da bulundu\u011fu kendi sermayesi oran\u0131na g\u00f6re getiri elde eder.<\/p>\n<p align=\"LEFT\">\u2022 Mudaraba sukukunun tan\u0131t\u0131m bro\u015f\u00fcr\u00fcnde, sukuk al\u0131c\u0131s\u0131na (mal sahibi) belirli miktarda \u00f6deme yap\u0131lmas\u0131n\u0131 \u00f6ng\u00f6ren ko\u015fullar olmayabilir.<\/p>\n<p align=\"LEFT\">\u2022 Gelirden kesinti yap\u0131larak sermaye kayb\u0131 gibi beklenmedik durumlar i\u00e7in rezerv olu\u015fturulabilir.<\/p>\n<p align=\"LEFT\">\u2022 Tan\u0131t\u0131m bro\u015f\u00fcr\u00fc, mudaraba s\u00f6zle\u015fmesinden ba\u011f\u0131ms\u0131z olarak, muhtemel zarar i\u00e7in \u00fc\u00e7\u00fcnc\u00fc ki\u015filerin belli tutarda hibe vaadini i\u00e7erebilir.<\/p>\n<p align=\"LEFT\">Mudaraba sukukuna \u00f6rnek olarak, Bahreyn orijinli Shamil Bank`\u0131n Suudi Arabistan`da faaliyet g\u00f6steren bir gayrimenkul \u015firketi ile arazi geli\u015ftirme projesi kapsam\u0131nda \u00fc\u00e7 y\u00fcz altm\u0131\u015f milyon Suudi Riyali tutar\u0131nda yat\u0131r\u0131m sermayesi temin ederek, s\u00f6z konusu projeyi finanse etmesi g\u00f6sterilebilir.<\/p>\n<p align=\"LEFT\"><em><strong>2.2.2- Sukuk-u Mu\u015faraka<\/strong><\/em><\/p>\n<p align=\"LEFT\">S\u00f6zl\u00fck anlam\u0131, ortakl\u0131k demek olan mu\u015faraka, iki taraf\u0131n fon sa\u011flad\u0131\u011f\u0131 ortak giri\u015fimi ifade eder. Her iki taraf giri\u015fimin k\u00e2r veya zarar\u0131na hisseleri oran\u0131nda ortak olurlar. Mu\u015faraka sukukunda, ortakl\u0131k s\u00f6zle\u015fmesine dayal\u0131 olarak, mevcut bir projenin finansman\u0131n\u0131 ger\u00e7ekle\u015ftirmek i\u00e7in, elinde sertifika (sukuk) bulunduranlar, projenin veya faaliyetin sahibi olurlar.<\/p>\n<p align=\"LEFT\">Mu\u015faraka sukuku, ciro edebilmekte ve ikincil piyasalarda i\u015flem g\u00f6rebilmektedirler. Mu\u015faraka sukukunda, yat\u0131r\u0131ma konu olan varl\u0131\u011f\u0131n m\u00fclkiyetini temsil eden sertifikalar ihra\u00e7 edilir.<\/p>\n<p align=\"LEFT\">Sukuk ihra\u00e7 edenlerin yat\u0131r\u0131m kararlar\u0131nda referans g\u00f6sterilen sukuk al\u0131c\u0131lar\u0131ndan olu\u015fan komite olu\u015fturmalar\u0131 halinde, sukuku elinde bulunduranlarla sukuk ihra\u00e7 edenler aras\u0131ndaki ili\u015fkinin organizasyonu hari\u00e7, mudaraba sukukundan fark\u0131 yoktur. Burada varl\u0131k y\u00f6netim \u015firketini SPV, mu\u015far\u0131k ad\u0131n\u0131 alm\u0131\u015ft\u0131r.<\/p>\n<p align=\"LEFT\">Bu sukuk t\u00fcr\u00fcne \u00f6rnek olarak, Emirates Airlines`in be\u015f y\u00fcz elli milyon USD de\u011ferindeki yedi y\u0131ll\u0131k sukukunu g\u00f6sterebiliriz. Sertifika sahipleri murabaha emtias\u0131na sahip olurlar ve emtian\u0131n tekrar sat\u0131\u015f\u0131nda nihai sat\u0131\u015f fiyat\u0131 hakk\u0131na sahiptirler. Murabaha sukukunun ge\u00e7erli olmas\u0131 i\u00e7in sadece birincil piyasada i\u015flem g\u00f6rmesi gerekir. Murabaha sukukunun ciro edilmesine ve ikincil piyasada i\u015flem g\u00f6rmesine \u0130slam hukuku cevaz vermemektedir. Zira bu i\u015flemler faizle neticelenece\u011finden buna izin verilemez. Bu sukuk t\u00fcr\u00fcnde varl\u0131k y\u00f6netim \u015firketi (SPV) ve bor\u00e7lu aras\u0131nda bir s\u00f6zle\u015fme ile yat\u0131r\u0131mc\u0131lara sukuk ihra\u00e7 edilmektedir.<\/p>\n<p align=\"LEFT\">Buna, Bahreyn orijinli bir yat\u0131r\u0131m firmas\u0131 olan Arcapita Bank Bayerische Hypo-Und Vereinsbank AG, \u0130ngiliz k\u00f6kenli Standart Bank ve London Branch ana organizat\u00f6rlerin ihra\u00e7 etti\u011fi, be\u015f y\u0131ll\u0131k, \u00e7ok d\u00f6vizli senetler \u00f6rnek olarak g\u00f6sterilebilir. Sukuk i\u00e7in getiri oran\u0131 \u00fc\u00e7er ayl\u0131k, Libor art\u0131 baz puan y\u00fcz yetmi\u015f be\u015f Pips olarak belirlenmi\u015ftir.<\/p>\n<p align=\"LEFT\"><em><strong>2.2.4- Sukuk-u Salam (Selem)<\/strong><\/em><\/p>\n<p align=\"LEFT\">Salam \u00f6demenin s\u00f6zle\u015fme s\u0131ras\u0131nda pe\u015fin yap\u0131ld\u0131\u011f\u0131, ancak sat\u0131n al\u0131nan varl\u0131\u011f\u0131n teslimat\u0131n\u0131n, \u00f6ng\u00f6r\u00fclen ileri bir tarihe ertelendi\u011fi al\u0131m-sat\u0131m i\u015flemidir4.<\/p>\n<p align=\"LEFT\">Salam sukuku ise fon temin etmek i\u00e7in e\u015f de\u011ferli ihra\u00e7 edilen sertifikalard\u0131r. Toplanan bu fonlarla ihra\u00e7 edilen belgeleri alanlar, salam bazl\u0131 sat\u0131lan mallar\u0131n m\u00fclkiyetini alm\u0131\u015f olurlar. SPV ise y\u00fck\u00fcml\u00fcden mallar\u0131 al\u0131r.<\/p>\n<p align=\"LEFT\"><em><strong>2.2.5- Sukuk-u \u0130stisna<\/strong><\/em><\/p>\n<p align=\"LEFT\">\u0130stisna, \u00fcreticinin \u00f6nceden anla\u015f\u0131lan fiyat, \u00f6zellik ve belirlenmi\u015f standartlarla tan\u0131mlanm\u0131\u015f \u00fcr\u00fcn sa\u011flama sorumlulu\u011funu ald\u0131\u011f\u0131 mal \u00fcretim s\u00f6zle\u015fmesidir. \u00dccret i\u015f \u00f6ncesinde veya belirlenmi\u015f bir zaman diliminde \u00f6denir. Teslimat ise daha sonra yap\u0131l\u0131r. \u0130stisna sukuku, sertifika sahibinin, sahip oldu\u011fu \u00fcr\u00fcnlerin imali i\u00e7in gerekli fonlar\u0131 sa\u011flamak amac\u0131yla ihra\u00e7 etti\u011fi, e\u015fit de\u011ferli sertifikalard\u0131r. Sukuk al\u0131c\u0131lar\u0131 \u00fcr\u00fcne sahip olur ve sertifikalar\u0131n sat\u0131\u015f bedeline veya paralel istisna ile sat\u0131lan \u00fcr\u00fcn\u00fcn sat\u0131\u015f bedeline hak kazan\u0131rlar. \u0130stisna sukuku b\u00fcy\u00fck altyap\u0131 projelerini finanse etmeye elveri\u015flidirler. Bunlar kaynak kurulu\u015f, varl\u0131k kiralama \u015firketi ve yat\u0131r\u0131mc\u0131lard\u0131r.<\/p>\n<p align=\"LEFT\"><em><strong>3.2.1- Kaynak Kurulu\u015f<\/strong><\/em><\/p>\n<p align=\"LEFT\">Sahip oldu\u011fu veya kiralad\u0131\u011f\u0131 varl\u0131klar\u0131 kiralamak \u00fczere varl\u0131k kiralama \u015firketine devreden anonim \u015firketlerdir.<\/p>\n<p align=\"LEFT\">Burada ge\u00e7en varl\u0131k tabiri, her t\u00fcrl\u00fc menkul ve gayrimenkul mallarla maddi olmayan varl\u0131klar\u0131 i\u00e7ermektedir.<\/p>\n<p align=\"LEFT\"><em><strong>3.2.2- Varl\u0131k Kiralama \u015eirketi (VK\u015e)<\/strong><\/em><\/p>\n<p align=\"LEFT\">Varl\u0131k kiralama \u015firketi, arac\u0131 kurumlar, bankalar ve kaynak kurulu\u015flar taraf\u0131ndan m\u00fcnhas\u0131ran kira sertifikas\u0131 ihra\u00e7 etmek \u00fczere kurulmu\u015f olan anonim \u015firketi ifade etmektedir. Bunlar, kaynak kurulu\u015flardan devrald\u0131\u011f\u0131 varl\u0131klar\u0131 tekrar kaynak kurulu\u015fa kiralamak suretiyle kira geliri elde eden, s\u00f6zle\u015fme s\u00fcresi sonunda ilgili varl\u0131\u011f\u0131, kaynak kurulu\u015fa iade eden ortakl\u0131klard\u0131r. VK\u015e ayn\u0131 anda tek bir kaynak kurulu\u015fa ait varl\u0131klar\u0131 devralabilir. VK\u015e, varl\u0131klar\u0131 kendi ad\u0131na, ancak sertifika sahipleri hesab\u0131na devral\u0131r ve kiralar. Bunlar ba\u015fka bir ticari faaliyette bulunamaz. Kredi kullanamaz ve bor\u00e7lanamaz. Kira sertifikas\u0131 sahipleri hesab\u0131na varl\u0131klar\u0131, kiraya vermek ve devretmek suretiyle elde edilen gelirlerin kira sertifikas\u0131 sahiplerine \u00f6denmesinden sorumludur. VK\u015e ayn\u0131 anda tek bir tertip kira sertifikas\u0131 ihra\u00e7 edebilir, tedav\u00fcldeki kira sertifikalar\u0131 itfa edilmeden yeni bir kira sertifikas\u0131 ihra\u00e7 edilemez.<\/p>\n<p align=\"LEFT\"><strong><em>3.2.3- Yat\u0131r\u0131mc\u0131<\/em><\/strong><\/p>\n<p align=\"LEFT\">Kira sertifikas\u0131 uygulamas\u0131n\u0131n \u00fc\u00e7\u00fcnc\u00fc taraf\u0131n\u0131 olu\u015fturan yat\u0131r\u0131mc\u0131lar, kendilerine tahsisli olarak sertifika ihra\u00e7 edilecek nitelikli yat\u0131r\u0131mc\u0131lar ile halka arz yoluyla sertifika ihra\u00e7 edilen bireysel yat\u0131r\u0131mc\u0131lardan olu\u015fmaktad\u0131r. Bunlar kira sertifikas\u0131 sahibi olup, kendi tertiplerine ili\u015fkin varl\u0131klardan elde edilen gelirlerde paylar\u0131 oran\u0131nda hak sahibidirler. Kira sertifikalar\u0131 VK\u015e`nin talebi ve ilgili borsan\u0131n uygun g\u00f6rmesi \u00fczerine menkul k\u0131ymet borsalar\u0131nda i\u015flem g\u00f6rebilir.<\/p>\n<p align=\"LEFT\">SPK`n\u0131n yukar\u0131da de\u011finilen tebli\u011fi incelendi\u011finde, yurtd\u0131\u015f\u0131nda yerle\u015fik yabanc\u0131 yat\u0131r\u0131mc\u0131lara yap\u0131lacak sertifika ihrac\u0131 konusunun yeterince a\u00e7\u0131klanmad\u0131\u011f\u0131 g\u00f6ze \u00e7arpmaktad\u0131r. B\u00f6ylece T\u00fcrkiye`de 10 y\u0131ld\u0131r \u00e7e\u015fitli vesilelerle tart\u0131\u015f\u0131lan ve faizsiz tahvil olarak tan\u0131mlanan \u201csukuk\u201d orijinli bir enstr\u00fcman, T\u00fcrk sermaye piyasas\u0131na girmi\u015f olmaktad\u0131r10.<\/p>\n<p align=\"LEFT\"><strong>4.1- Gelir Vergisine Y\u00f6nelik Te\u015fvikler<\/strong><\/p>\n<p align=\"LEFT\">6111 say\u0131l\u0131 Kanunla, GVK`nun 75. maddesinin ikinci f\u0131kras\u0131n\u0131n (5) numaral\u0131 bendinde yap\u0131lan de\u011fi\u015fiklikle varl\u0131k kiralama \u015firketleri taraf\u0131ndan ihra\u00e7 edilen kira sertifikalar\u0131 da menkul sermaye irad\u0131 olarak say\u0131lm\u0131\u015ft\u0131r.<\/p>\n<p align=\"LEFT\">Bu ba\u011flamda, GVK`nun ge\u00e7ici 67. maddesinin on \u00fc\u00e7\u00fcnc\u00fc f\u0131kras\u0131na g\u00f6re, kira sertifikalar\u0131, sermaye piyasas\u0131 arac\u0131 olarak tan\u0131mlanm\u0131\u015f olup, bunlardan elde edilen gelirlerin 31.12.2015 tarihine kadar vergi tevkifat\u0131 (kesinti) yoluyla vergiye tabi tutulaca\u011f\u0131 \u00f6ng\u00f6r\u00fclm\u00fc\u015ft\u00fcr.<\/p>\n<p align=\"LEFT\">Kira sertifikas\u0131 gelirlerine uygulanacak tevkifat (kesinti) oran\u0131 ise 2011\/1854 say\u0131l\u0131 Bakanlar Kurulu Karar\u013111 ile %10 olarak belirlenmi\u015ftir. Bu nihai vergileme olacak ve m\u00fckellef\u00e7e beyana dahil edilmeyecektir12.<\/p>\n<p align=\"LEFT\"><strong>4.2- Kurumlar Vergisine Y\u00f6nelik Te\u015fvikler<\/strong><\/p>\n<p align=\"LEFT\">6111 say\u0131l\u0131 Kanunla, 5520 say\u0131l\u0131 Kurumlar Vergisi Kanununda (KVK) yap\u0131lan de\u011fi\u015fikliklerle, kira sertifikalar\u0131na y\u00f6nelik iki \u00f6nemli mali te\u015fvik sa\u011flanm\u0131\u015ft\u0131r.<\/p>\n<p align=\"LEFT\"><strong><em>4.2.1- Gayrimenkul Sat\u0131\u015f Kazanc\u0131 \u0130stisnas\u0131 Getirilmi\u015ftir<\/em><\/strong><\/p>\n<p align=\"LEFT\">6111 say\u0131l\u0131 Kanunla KVK`nun 5. maddesinin (e) bendinde yap\u0131lan de\u011fi\u015fiklikle ta\u015f\u0131nmazlar\u0131n kaynak kurulu\u015flarca kira sertifikas\u0131 amac\u0131yla varl\u0131k kiralama \u015firketlerine sat\u0131\u015f\u0131 ile bu varl\u0131klar\u0131n varl\u0131k kiralama \u015firketlerince ta\u015f\u0131nmaz\u0131n devral\u0131nd\u0131\u011f\u0131 kaynak kurulu\u015fa sat\u0131\u015f\u0131ndan do\u011fan kazan\u00e7lar, tamamen ve s\u00fcresiz olarak kurumlar vergisinden istisna edilmi\u015ftir.<\/p>\n<p align=\"LEFT\">Ancak bu istisna, yukar\u0131daki a\u00e7\u0131klamalardan anla\u015f\u0131laca\u011f\u0131 \u00fczere, kira sertifikalar\u0131na konu olabilecek menkul k\u0131ymetlerle, maddi olmayan varl\u0131klar i\u00e7in uygulanmayacak, m\u00fcnhas\u0131ran gayrimenkul mallar i\u00e7in uygulanacakt\u0131r.<\/p>\n<p align=\"LEFT\"><em><strong>4.2.2- Vergi Tevkifat\u0131 (Kesintisi) Oran\u0131 D\u00fc\u015f\u00fck Tutulmu\u015ftur<\/strong><\/em><\/p>\n<p align=\"LEFT\">6111 say\u0131l\u0131 Kanunla, KVK`n\u0131n vergi tevkifat\u0131n\u0131 d\u00fczenleyen 15. maddede yap\u0131lan de\u011fi\u015fiklikle varl\u0131k kiralama \u015firketlerince ihra\u00e7 edilen kira sertifikalar\u0131ndan vergi tevkifat\u0131 yap\u0131laca\u011f\u0131 h\u00fckme ba\u011flanm\u0131\u015ft\u0131r.<\/p>\n<p align=\"LEFT\">Ancak, KVK\u2019nun ge\u00e7ici 1. maddesine g\u00f6re sermaye piyasas\u0131 arac\u0131 olan, kira sertifikas\u0131 gelirlerine GVK`nun ge\u00e7ici 67. maddesine g\u00f6re %10 vergi kesintisi yap\u0131laca\u011f\u0131ndan, ayr\u0131ca kurumlar vergisi tevkifat\u0131 yap\u0131lmayacakt\u0131r. S\u00f6z konusu gelirler i\u00e7in kurumlar vergisi beyannamesi verilmeyece\u011finden bu, nihai vergi olacak ve %25 oran\u0131nda kurumlar vergisi yerine, % 10 vergi kesintisi \u00f6denmi\u015f olacakt\u0131r.<\/p>\n<p align=\"LEFT\">Kurumlar vergisi a\u00e7\u0131s\u0131ndan kaynak kurulu\u015flarla varl\u0131k kiralama \u015firketleri aras\u0131ndan ger\u00e7ekle\u015fen varl\u0131k devir ve iade i\u015flemlerinin, emsallerine uygun olarak fiyatland\u0131r\u0131l\u0131p fiyatland\u0131r\u0131lmamas\u0131, transfer fiyatland\u0131rmas\u0131 uygulamas\u0131n\u0131 g\u00fcndeme getirecektir. B\u00f6yle bir sorun ya\u015fanmamas\u0131 i\u00e7in, ad\u0131 ge\u00e7en devir ve iade i\u015flemlerinin transfer fiyatland\u0131rmas\u0131 kapsam\u0131 d\u0131\u015f\u0131nda tutulmas\u0131 uygun olacakt\u0131r.<\/p>\n<p align=\"LEFT\"><strong>4.3- Katma De\u011fer Vergisine Y\u00f6nelik Te\u015fvikler<\/strong><\/p>\n<p align=\"LEFT\">6111 say\u0131l\u0131 Kanunla Katma De\u011fer Vergisi Kanununda (KDVK) yap\u0131lan de\u011fi\u015fikliklerle kira sertifikalar\u0131n\u0131n teslimi ile sertifikalar\u0131n kayna\u011f\u0131n\u0131 olu\u015fturan varl\u0131klar\u0131n devir, kiralama ve devral\u0131nmas\u0131 KDV`den istisna edilmi\u015ftir.<\/p>\n<p align=\"LEFT\"><em><strong>4.3.1- Kira Sertifikalar\u0131n Teslimi KDV\u2019den \u0130stisna Edilmi\u015ftir<\/strong><\/em><\/p>\n<p align=\"LEFT\">6111 say\u0131l\u0131 Kanunla KDVK\u2019nun 17. maddesinin (g) bendinde yap\u0131lan de\u011fi\u015fiklikle, varl\u0131k kiralama \u015firketleri taraf\u0131ndan ihra\u00e7 edilen kira sertifikalar\u0131n\u0131n KDV`ye tabi olmad\u0131\u011f\u0131 h\u00fckme ba\u011flanm\u0131\u015ft\u0131r.<\/p>\n<p align=\"LEFT\">Bu istisnan\u0131n, kira sertifikalar\u0131n\u0131n ilk ihrac\u0131ndan sonra, taraflar aras\u0131nda sonradan el de\u011fi\u015ftirmelerinde de ge\u00e7erli oldu\u011funu13 kabul etmek gerekir.<\/p>\n<p align=\"LEFT\">Zaten, finansal \u00fcr\u00fcnlerin KDV kar\u015f\u0131s\u0131ndaki durumuna ili\u015fkin genel anlay\u0131\u015f, bu \u00fcr\u00fcnlerin KDV` ye tabi olmad\u0131\u011f\u0131 y\u00f6n\u00fcndedir14.<\/p>\n<p align=\"LEFT\"><em><strong>4.3.2- Varl\u0131klar\u0131n Devir ve Kiralanmas\u0131 KDV\u2019den \u0130stisna Edilmi\u015ftir<\/strong><\/em><\/p>\n<p align=\"LEFT\">6111 say\u0131l\u0131 Kanunla KDVK`nun 17. maddesinin (u) bendinde yap\u0131lan de\u011fi\u015fiklikle, menkul ve gayrimenkul k\u0131ymetler ile maddi olmayan varl\u0131klar\u0131n;
